Microsoft 365 Licensing: E3 vs E5 and License Optimization

Microsoft 365 licensing determines which apps, security and compliance features each user gets, and it is one of the largest recurring IT costs for most enterprises. Enterprise organizations usually choose between Microsoft 365 E3 and E5, mix in frontline (F) plans and add-ons such as Copilot, Teams Phone or advanced security, and renew under an Enterprise Agreement or through a Cloud Solution Provider. Most tenants carry waste: unused licenses, users on plans richer than they need and overlapping add-ons.

This guide compares E3 and E5 and explains how Microsoft 365 license optimization works. RockTeam handles licensing as part of our Microsoft 365 consulting services and our software licensing, renewals and cost optimization practice.

Teams availability in enterprise suites depends on your region and agreement, as some suites are sold with and without Teams. Confirm the exact SKUs with your licensing partner.

When E5 Makes Sense

  • You need advanced threat protection, endpoint detection and response, or identity protection and would otherwise buy several add-ons.
  • You are regulated and need eDiscovery Premium, insider risk or communication compliance.
  • You want Teams Phone and Power BI Pro for most users.
  • Your security team will actually configure and use the E5 tools; unused E5 features are pure cost.

Many organizations mix plans: E5 for high-risk roles and administrators, E3 for most knowledge workers, F plans for frontline staff, plus targeted add-ons.

Where Microsoft 365 License Waste Comes From

Source of wasteFix
Licenses assigned to departed or inactive usersRegular joiner, mover and leaver reviews and automated reclaim
Users on richer plans than they needUsage-based plan assignment by role
Overlapping add-ons and third-party toolsMap features to tools and remove duplicates

Microsoft 365 License Optimization Steps

  1. Inventory every subscription, add-on and assignment, plus renewal and anniversary dates.
  2. Measure usage by user and workload from Microsoft 365 usage reports.
  3. Map needs by role to the right plan and add-ons.
  4. Reclaim and reassign licenses from inactive users.
  5. Model scenarios such as E3 plus add-ons versus E5, or a mixed estate.
  6. Negotiate the renewal with the right counts and plan mix, through the best agreement type for your size.
  7. Govern ongoing, with quarterly reviews so waste does not return.

Licensing, Security and Copilot

Licensing decisions are security decisions: some protections recommended in a Microsoft 365 security assessment require E5 or specific add-ons. Copilot adds another license per user, so a Copilot readiness assessment should decide who gets it based on real use cases.
